By registering for or using Model Pilot (the "Service"), you agree to these Terms with Umbrella AI LLC ("Umbrella," "we," "us"). Model Pilot is the product name. If you do not agree, do not create or use an account.
Commercial Use Terms
These Terms govern commercial creator use of Model Pilot, a service operated by Umbrella AI LLC, a Wyoming limited liability company.
Supplemental notice 2026-10-11-social-integrations-v1 explains existing connected-platform features under this base agreement. It does not change the operator, payment terms, regional eligibility rules, granted permissions or automation settings.
By registering for or using Model Pilot (the "Service"), you agree to these Terms with Umbrella AI LLC ("Umbrella," "we," "us"). Model Pilot is the product name. If you do not agree, do not create or use an account.
The Service is offered for commercial creator activity. You may register as a company, sole proprietor, or individual professional creator; no LLC, EIN, employees, or other formal business structure is required. You must be at least 18 years old and able to enter a binding contract. You represent that you use Model Pilot primarily for commercial creator activity and not for personal, family, or household purposes. If you act for an organization, you also represent that you are authorized to bind it.
The Service is not offered to persons or businesses established in the European Union or European Economic Area. By creating or using an account, you represent that you are not established in, and do not ordinarily operate from, the EU or EEA, and that you will not use the Service to specifically target persons located there.
Model Pilot does not use IP-based geolocation, Cloudflare country gates, billing-country checks, or similar technical country blocking to verify this eligibility. Incidental technical access does not change the intended market. We may suspend or terminate an account if we become aware that these eligibility requirements are not met.
You must provide accurate account information, protect credentials, use the supported Fanvue, Instagram/Meta or X authorization flow rather than sharing platform passwords, and promptly report suspected compromise. You are responsible for activity by your team members and anyone using your credentials. Never provide Chat PINs or private keys to support or enter them outside the supported browser-local unlock flow.
The Service integrates with Fanvue, Instagram (Meta) and X but is operated independently by Umbrella. Supported features include creator-authorized publishing and scheduling, manual messages, comments and replies, media display and available engagement data. Features differ by platform and are subject to account type, permissions, platform approval, available API fields and the controls actually offered in the Service.
You must own the connected account or have authority to manage it, comply with each platform's policies, and maintain valid authorization. A granted permission is not a promise that every platform feature, webhook event or historical record will be available. Platform downtime, review requirements, restrictions, policy changes and API limits may affect access. Disconnecting does not delete content already delivered to a platform; data deletion instructions explain the separate process.
Where supported, the read-only encrypted X Chat reader uses your existing keys through a browser-local unlock flow. Your PIN, private keys and decrypted content are not sent to the Model Pilot backend or AI services by this reader. It does not create or reset keys or send encrypted messages, and it cannot guarantee access to every encrypted conversation.
The Service uses automated and AI-assisted systems to analyze context and generate or send content. Outputs may be inaccurate, incomplete, delayed, or inappropriate. You remain responsible for configuration, review, lawful instructions, and all communications made through your account.
Instagram and X inboxes are manual: connecting them does not automatically send private messages or comments to AI, use them for model training or enable automatic replies. An AI-assisted post caption is a separate feature you request explicitly: choose review or automatic publication, and remain responsible for the content and selected instructions. Supported options apply only to their eligible selected targets, and platform exclusions remain applicable.
You must provide any AI or bot disclosure required by law or platform policy and must not use the Service to deceive people about whether they are interacting with an automated system. You may not use Model Pilot to specifically target EU/EEA persons.
You retain your rights in content and data you provide or authorize us to access. You grant Umbrella a limited, non-exclusive license to host, process, transmit, and transform that content only as needed to operate, secure, support, and improve the Service. You are responsible for having the rights and lawful authority required for your content and instructions.
Account creation is free. A new public Manager registration receives 100000 starter Credits once in the shared Manager wallet, not per Model. Existing accounts and additional Models do not receive another starter grant. All accounts have access to the same currently available features, subject to account, setup and safety requirements and the other requirements in these Terms.
AI usage consumes Credits. While we complete the payment-provider migration, we automatically add 1,000,000 free Credits when your available balance falls below 1,000. These free Credits and their usage are kept in a separate wallet from purchased and promotional Credits. Free refills are not payments and do not qualify a referral for a paid-purchase award.
100 Credits = USD 0.01. New metered AI requests use the selected API Relay model’s normal tariff plus 100% (2×), charged in Credits from recorded usage. Cached input and reasoning are accounted for without double charging, as explained on the Pricing page. Sufficient available Credits are required for paid AI usage.
Payments are currently unavailable. Preparing a credit purchase in Billing does not take payment or add Credits. Creating an account does not initiate a payment or recurring subscription. Starter Credits, Admin grants and promotional Credits are not paid purchases and do not qualify a referral for a paid-purchase award. Fanvue fan subscriptions, tips, and content purchases are separate from Model Pilot Credits.
Historical transactions made before these Terms remain governed by the terms and payment arrangements in effect at the time. Historical invoices and records may remain available for support, reconciliation, and legal retention. These Terms do not reactivate or transfer a legacy subscription.
You may not use the Service for unlawful content, fraud, harassment, exploitation, non-consensual material, abuse involving minors, spam, unauthorized access, malware, platform circumvention, rights infringement, or conduct that threatens users, connected platforms, Umbrella, or service integrity.
Umbrella and its licensors retain all rights in the Service, software, design, documentation, models, workflows, and branding. Except for the limited right to use the Service under these Terms, no rights are transferred to you. You may not copy, resell, reverse engineer, or interfere with the Service except where law cannot prohibit it.
Our Privacy Policy explains how we process data. Umbrella acts as a controller for account, security, support, and business administration data and generally as a processor or service provider for Fanvue, Instagram/Meta and X interaction data processed on your instructions. You remain responsible for notices, permissions, legal bases, and end-user requests within your role. Use the data deletion instructions for account or integration-data requests.
The Service is provided on an "as is" and "as available" basis. We may modify, suspend, restrict, or discontinue features for product, legal, security, platform, capacity, or operational reasons. We do not promise uninterrupted availability, a particular model, response time, output, conversion rate, revenue result, or continued third-party integration.
To the maximum extent permitted by law, Umbrella disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. You must independently review outputs and determine whether they are lawful and suitable for your use.
To the maximum extent permitted by law, Umbrella is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost revenue, lost data, platform action, or business interruption. Umbrella's aggregate liability arising from the Service will not exceed the greater of USD 100 or the fees paid for the Service during the 12 months before the event giving rise to the claim.
You will defend, indemnify, and hold Umbrella harmless from third-party claims arising from your content, instructions, account activity, violation of law or platform policy, or breach of these Terms. These limitations do not apply where they are prohibited by law.
You may stop using the Service and request account deletion. We may suspend or terminate access for breach, security risk, unlawful use, platform restrictions, regional ineligibility, or material operational risk. Data is handled after termination according to the Privacy Policy and applicable retention duties.
These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law principles. State and federal courts with jurisdiction in Wyoming have exclusive jurisdiction, unless applicable law requires otherwise. Notices and support requests may be sent to support@model-pilot.com.
By selecting “Create account,” you accept the current Terms and acknowledge the Privacy Policy. Creating an account records the applicable policy versions, acceptance method, acceptance time, and your commercial-use and regional eligibility representations. We may update these Terms. Material changes will be communicated through the Service or account email before they take effect where reasonably practicable.
